These Terms of Service ('Terms') govern your access to and use of sanexisdigital.com (the 'Site') and any services provided by Sanexis Digital ('we,' 'us,' or 'our'). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

Sanexis Digital is a women-owned digital marketing agency based in Austin, Texas. We provide performance marketing services including paid advertising, search engine optimization, analytics, and related consulting.

The Site and our services are intended for adults age 18 or older. By using the Site or engaging our services, you represent that you are at least 18 and have the legal authority to enter into these Terms, including on behalf of any entity you represent.

You agree to use the Site only for lawful purposes. You will not: (a) interfere with the Site's operation or security; (b) attempt to access areas not intended for you; (c) scrape, copy, or harvest content except as permitted by law; (d) use the Site to transmit malicious code or unlawful content; or (e) misrepresent your identity or affiliation.

Specific engagements are governed by a separate written agreement (for example, a Statement of Work or Master Services Agreement). In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement controls.

Marketing outcomes depend on many factors outside our control, including market conditions, creative performance, budget levels, platform policies, and your business operations. We do not guarantee specific results.

The Site, including text, graphics, logos, and code, is owned by Sanexis Digital or our licensors and is protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

Deliverables created under a signed engagement are governed by the ownership and license terms of that engagement.

If you send us information, ideas, or feedback through the Site or email, you grant us a non-exclusive, royalty-free, worldwide license to use that material for the purpose of responding to you, operating our business, and improving our services. Do not send us anything you consider confidential unless we have a signed agreement in place.

The Site may link to third-party websites, platforms, or services. We do not control and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

THE SITE AND OUR SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE FULLEST EXTENT PERMITTED BY LAW, SANEXIS DIGITAL AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. ENGAGEMENT-SPECIFIC LIABILITY IS GOVERNED BY THE APPLICABLE SIGNED AGREEMENT.

You agree to indemnify, defend, and hold harmless Sanexis Digital from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any third-party right.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Provisions that by their nature should survive termination will do so.

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. The 'Last updated' date below reflects the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
